These Terms of Use (“Terms”) govern your access to and use of the website www.goatmeal.com (the “Site”) and any purchases or services offered by GOATMEAL LLC (“GOATMEAL,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree, please do not use the Site.

1. Eligibility & Use of the Site

You may use the Site only if you:

  • are at least 18 years old (or the age of majority in your state), and

  • have the legal capacity to enter into a binding contract.

You agree to use the Site only for lawful purposes and in accordance with these Terms.

2. Account Registration

You may be able to create an account on the Site. If you do:

  • You are responsible for maintaining the confidentiality of your login information.

  • You are responsible for all activity that occurs under your account.

  • You agree to notify us immediately of any unauthorized use.

We reserve the right to refuse, suspend, or terminate any account at our discretion.

3. Orders, Pricing & Payment

When you place an order through the Site, you agree to provide current, complete, and accurate information.

  • Availability: All products and prices are subject to change and availability. We may limit quantities or refuse any order.

  • Pricing Errors: If a product is listed at an incorrect price due to error, we may cancel or refuse any orders placed for that product, even if the order has been confirmed. If your payment method has already been charged, we will issue a refund.

  • Payment: You authorize us (and our payment processors) to charge your selected payment method for the total amount of your order, including any taxes, shipping, and other charges displayed at checkout.

If we offer subscriptions or recurring orders in the future, those terms will be clearly disclosed at the time you enroll.

4. Shipping, Risk of Loss & Returns

Shipping times and fees will be displayed at checkout and/or in our Shipping Policy.

  • Risk of Loss: Title and risk of loss for products pass to you upon our delivery to the carrier.

  • Perishable Products: Our products are perishable and may require refrigeration or specific handling. You are responsible for following storage and handling instructions.

  • Returns & Refunds: Because our products are food items, returns may be limited. Please see our Refund/Return Policy for details, or contact support@goatmeal.com to discuss any issues with your order.

5. Intellectual Property

All content on the Site—including text, images, graphics, logos, videos, designs, and trademarks—is owned by GOATMEAL or its licensors and is protected by U.S. and international intellectual property laws.

You may not:

  • copy, reproduce, modify, distribute, display, or create derivative works based on the Site or its content;

  • use any GOATMEAL trademarks, logos, or branding without our prior written consent.

Limited personal, non-commercial use (such as viewing pages, placing orders, and printing receipts) is permitted.

6. User Content & Submissions

If you submit reviews, comments, suggestions, photos, or other content (“User Content”) to the Site or to us:

  • You grant GOATMEAL a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, display, and distribute such User Content in any media, for any lawful purpose (including marketing and product improvement).

  • You represent that you own or have the necessary rights to your User Content and that it does not infringe any third-party rights or violate any laws.

  • We may, but are not required to, monitor, edit, or remove User Content.

7. Prohibited Uses

You agree not to use the Site to:

  • violate any laws or regulations;

  • infringe the rights of others;

  • attempt to gain unauthorized access to our systems or the accounts of others;

  • interfere with or disrupt the operation of the Site;

  • use any automated means (bots, scrapers) to access the Site without our permission.

We may suspend or terminate your access if we believe you have violated these Terms.

8. Third-Party Links & Services

The Site may contain links to third-party websites or services that are not owned or controlled by GOATMEAL.

We are not responsible for the content, policies, or practices of third-party sites. Your use of those sites is at your own risk and subject to their terms and policies.

9. Disclaimer of Warranties

To the fullest extent permitted by law, the Site and all products and services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

  • the Site will be uninterrupted or error-free;

  • any defects will be corrected; or

  • the information on the Site is current, complete, or accurate.

Any reliance on the Site or its content is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law:

  • GOATMEAL and its officers, employees, agents, and affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Site or purchase of products.

  • Our total liability for any claim arising out of or related to the Site or products will not exceed the amount you paid to us for the order giving rise to the claim.

Some jurisdictions do not allow limitations on implied warranties or certain damages; in such cases, some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless GOATMEAL and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Site or products,

  • your violation of these Terms, or

  • your violation of any third-party rights.

12. Governing Law & Dispute Resolution

These Terms and your use of the Site are governed by the laws of the State of New York, without regard to its conflict-of-law principles.

If a dispute arises, you agree to first contact us at support@goatmeal.com and attempt to resolve the matter informally.

If we cannot resolve it informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) in New York County, New York, unless you opt out of arbitration by notifying us in writing within 30 days of your first use of the Site.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for the protection of intellectual property or confidential information.

13. Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page.

Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Site.

14. Severability & Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy and any other policies referenced on the Site, constitute the entire agreement between you and GOATMEAL regarding your use of the Site and supersede all prior agreements or understandings.
